Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of NetWise (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

NetWise provides AI-assisted training content generation, a document-grounded knowledge library, troubleshooting assistance, and related tooling for broadcast engineering teams. Content generated by the Service may draw on materials you or your organization upload, and on general knowledge from third-party AI providers. The Service is provided on a multi-tenant basis: each organization's data is logically isolated, but the underlying infrastructure is shared across customers.

3. Accounts and Eligibility

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access. Accounts are intended for use by individuals acting on behalf of a member organization ("tenant"); access to a tenant's data is governed by the role assigned to you within that tenant.

4. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis through our payment processor. By subscribing, you authorize recurring charges to your chosen payment method until you cancel. Fees are non-refundable except where required by law or expressly stated at the time of purchase. We may change plan pricing or features prospectively; changes will not retroactively alter charges already billed. Failure to pay may result in suspension or downgrade of paid features until payment is resolved.

5. Acceptable Use

You agree not to:

  • Upload content you do not have the right to upload, including copyrighted vendor materials beyond your license to use them.
  • Attempt to access another tenant's data, bypass access controls, or interfere with the Service's security mechanisms.
  • Use the Service to generate content that is unlawful, infringing, or that misrepresents safety-critical equipment behavior as verified fact when it was AI-generated.
  • Probe, scan, or test the Service's infrastructure except as expressly authorized in writing.
  • Resell or provide the Service to third parties outside your organization without our consent.

6. Intellectual Property

We retain all rights in the Service itself, including its software, design, and underlying models and pipelines. As between you and us, you retain ownership of the content and documents you upload ("Customer Content"). You grant us a limited license to process Customer Content solely to provide and improve the Service for your tenant. AI-generated output (scripts, summaries, diagrams, audio) is provided for your use within the Service subject to these Terms and any applicable third-party AI provider terms.

7. Third-Party Services and AI-Generated Content

The Service integrates third-party AI providers to generate text, audio, and images, and may retrieve context from documents you or your organization have uploaded. AI-generated content can be incomplete or inaccurate; it is not a substitute for the manufacturer's official documentation or professional judgment, particularly for safety-critical configuration or troubleshooting decisions. You are responsible for independently verifying AI-generated content before relying on it operationally.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETWISE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may stop using the Service and cancel your subscription at any time through your billing settings. We may suspend or terminate access if you materially breach these Terms, including violations of the Acceptable Use section, or if required by law. Upon termination, your right to access the Service ends; provisions that by their nature should survive (ownership, disclaimers, limitation of liability) will survive.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and where appropriate we will provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
